CONSTITUTION AND RULES

1. NAME AND STATUS

The Roofing and Waterproofing Institute.

The Institute is an Independent voluntary Association with Legal Personality and as such has the right to own property in its own Name for its own Account Independently from its Members, and to sue and be sued in its own Name. This means what form of body you are and that you are not liable in your personal capacities.

2. OBJECTIVES

a. To Maintain and Improve the Standards of the Roofing and Waterproofing Industry.

b. To Promote, to Support, to Protect and to Further the Common Interests of Clients, Specifiers, Manufacturers, Suppliers and Contractors of Roofing and Waterproofing Materials and Systems.

c. To ensure that the Institute is Representative of the Industry.

d. To Promote and Develop Training of Roofing and Waterproofing Materials and Systems.

3. MEMBERSHIP

a. Membership will be open to any Person, Firm or Company associated with the Manufacture, Supply, and Application or Consulting of Roofing and Waterproofing Materials and Systems.

b. There will be two Classes of Members:

ORDINARY MEMBERS.

ASSOCIATE MEMBERS.

c. Application for Membership is to be made on the Prescribed Application Form Presented at an Executive Meeting by the Applicant, whereupon a Proposer and Seconder will be obtained.

Said Application will be Posted to the Ordinary Members for any Objections for a 21 day period, where after if no Objections are noted, Membership will be granted.

d. Probationary Members;

Applicants that are Non-Compliant could be granted the above Membership for a Period of Six Months, at the Discretion of the Executive Committee. No Institute Stationary, Logos, Advertising Material and any Reference, may be used in this period.

Should the Applicants Status remain Non-Compliant after the above Period, said will result in Expulsion of the Applicant with no Refunds where Applicable.

e. Members may Resign from the Institute by giving one month’s notice and payment of all monies due by them to the Institute.

f. Expulsion from Membership will only be applicable where a Member has breached the Constitution or Rules of the Institute in Terms of the Disciplinary Procedure and is to be agreed upon by Two Thirds of the Ordinary Members present at a General Meeting.

4. FINANCE

Funds shall be raised by Annual Subscription or by any other Method which the Executive Committee Members may agree upon by a Two Thirds Majority at an Executive Committee Meeting.

All the Income shall be applied solely towards the Promotion of the Institute’s Objectives.

5. MANAGEMENT

The Ordinary Members will each year at the AGM appoint the following Office Bearers.

CHAIRMAN

VICE – CHAIRMAN

TREASURER

All Business of the Institute shall be undertaken by the Executive Committee.

In the event that there are Special Projects to be undertaken, Project Groups will be appointed and they will report to the Executive Committee.

Proper Records of Meetings, Financial Transactions, Membership Enquiries, Website and all Related Administration as determined by the Executive Committee will be maintained by an Appointed Secretary.

The Executive Committee shall consist of no less than Six Ordinary Members.

6. MEETINGS

There will be four types of meetings:

6.1 Committee Meetings will be held as necessary to Manage the Business of the Institute.

6.2 General Meetings - at which the on-going Business of the Institute will be Transacted. General Meetings will be held at Times and Dates agreed by the Ordinary Members.

6.3 Annual General Meeting - at which Office Bearers / Executive Committee are elected for the following year, Financial Accounts for the previous year and Budget for the Next Year Approved. The Annual General Meeting will be convened in July of each year (Subject to change).

6.4 Special Meetings - these will be arranged by the Ordinary Members to conduct any Unusual Business and may be called by the Chairman or three Ordinary Members.

Notice for a Special Meeting shall be 21 days.

6.5 Quorum - The number of Ordinary Members required to be present in order to Constitute a Quorum shall be Two Thirds of the Ordinary Members which shall include the Executive.

7. CODE OF PRACTICE / ETHICS

- To Endeavour to achieve the Objectives of the Institute through Participation within and Support for the Organization.

- To Deal with Clients and Associates with Honesty and Integrity and so Promote Good Business Practice.

- To reveal all Material Facts, so that the Truth about Roofing and Waterproofing Products and Systems will be fully understood.

- To Ensure that any Media Advertising does not include exaggerated claims and will be Legal.

- To Ensure that Roofing and Waterproofing Products and Systems are Installed in Terms of “Good Practice” as defined in SANS 10400 and SAQA.

- To stand behind our Work, offering Warranties or Guarantees that comply with the following:

No Guarantee to be given for a Period of Longer than 10 Years.

That they only Cover Repairs necessitated by Bad Workmanship or Materials.

That Fair Wear and Tear and Leakage occasioned by Abnormal Causes or Agencies are Accepted.

That no Responsibility is Accepted for Indirect or Consequential Damages.

That the Guarantee is Conditional upon Payment in Full being made when Payment is Due.

That the Warranty becomes Null and Void if and when the Roofing and / or Waterproofing is interfered with by a Third Party.

- To enter into Contracts only for Work we know we are Qualified to Perform and Honouring such Contracts to the Best of our Ability.

- To Ensure that any Customer Complaint against a Member is Investigated promptly to Assess its Validity and if Substantiated, Quickly Rectified.

- For Members, where Appropriate, to Ensure Compliance with Local Legal and Statutory Requirement Criteria.

- For “Contractor Members” to stand behind Supplier / Manufacturing Members Specifications, where these have been called for by the Client.

The Exception to this being, where the Specification has been made outside Normal Conditions or Terms of “Good Practice” as defined in SANS 10400 and SAQA and has been discussed with the Supplier / Manufacturer Member concerned.

8. DISCIPLINARY PROCEDURES

8.1 The Institute Reserves the Right to Expel from Membership any Member who:

Fails to pay Subscriptions / Levies when Due.

Fails to comply with any Resolution of the Institute.

Commits any Act of Insolvency.

Fails to comply with the Constitution and Rules of the Institute.

8.2 Should any Member of the Institute learn of any Deviation from or Offence against the “Code of Practice / Ethics” they may Lodge a “Complaint” against such Member in writing to the Chairman.

8.3 The Chairman will then discuss the “Complaint” with the Offending Member and in the Event the problem is not solved, the Complaint will be brought to the next Committee Meeting for the Executive Committee Members to discuss and for a Vote of “Censure” to be taken.

8.4 In Terms of the above Vote of “Censure”, if this is carried by Two Thirds of the Executive Committee Members Present and the Offender incurs Three of these “Censures” within a Two Year Period, the Offender will be expelled from the Institute.

8.5 Where an Ordinary Member or their Representative does not attend Three Consecutive General Meetings of the Institute and the “excuse” for such Non-Attendance is not accepted by Two Thirds of the Executive Committee Members Present at a Committee Meeting, the Offending Member will be Expelled from the Institute.

8.6 Upon Expulsion from Membership, said Member shall not have any Claims

against the Funds or Assets of the Institute. No Institute Stationery, Logos, Advertising Material and any Reference, may be used by said Member.

8.7 The Institute reserves the right to Advertise that a Member has been Expelled and is no longer a part of the Institute.

9. CLASSES OF MEMBERSHIP

There will be Two Categories of Members:

ORDINARY.

ASSOCIATE.

Only Ordinary Members will each have only One Vote at any AGM, General or Special Meeting.

9.1 Ordinary Member:

This Category of Membership shall be confined to Persons, Firms and Companies engaged in the Manufacture, Supply, Application and Consulting of Roofing and Waterproofing Material or Systems.

Only Ordinary Members will each have only One Vote at any AGM, General or Special Meeting.

Ordinary Members will be Subject to a once off Registration Fee and also Annual Subscriptions or other Assessments.

9.2 Associate Members:

This Class of Membership is Designed to cater for Entities that are Concerned with Roofing and Waterproofing but not involved in its Application per say.

Associate Members will be Subject to a once off Registration Fee and no Annual Subscription or other Assessments and will have no vote at Meetings.

10. INDEMNIFICATION

Every Officer of the Institute and all Members of its Sub-Committees shall be Indemnified by the Institute against all Costs, Losses, or Expenses which such Persons may Incur, or become Liable for by Reason of any Litigation arising from any Act or Thing Done or Omitted to be done by Them in the Discharge of their Duties on behalf of the Institute.

11. ALTERATIONS TO CONSTITUTION AND RULES:

No Alterations of / or Additions to the Constitution or the Rules shall be made except at a Special General Meeting.

The Notice for the Calling of which shall give the Nature of the Proposed Alterations or Additions.

A Proposal by an Ordinary Member of any such Alteration or Addition shall be Submitted in Writing to the Executive Committee, which shall forthwith call a Special General Meeting to consider it.

Not less than 21 days’ Notice shall be given for the calling of a Special General Meeting for the purpose of the Rule.

Any Alteration of / or Addition to the Constitution or the Rules must be Approved by at least Two Thirds of the Ordinary Members entitled to Vote.
